THIRD DIMENSION TECHNOLOGIES DATA LICENSE AGREEMENT

You should carefully read the following terms and conditions before using the mapping data. Using the data indicates your acceptance of these terms and conditions. If you do not agree with them, you should contact Third Dimension Technologies and promptly return any data you have been provided with (within 7 days from purchase) whereupon your money will be refunded.

GRANT OF LICENCE

This Licence Agreement (" Licence ") permits you the customer (" Customer ") to use the copy of the data products acquired with this Licence (" DATA ") on any single computer, provided the DATA is in use on only one computer at any time. If you have multiple Licences for the DATA, then at any time you may have as many copies of the DATA in use as you have Licence permits. The DATA is "in use" on a computer when it is loaded into the temporary memory (i.e. RAM) or installed into the permanent memory (e.g. hard disk, CDROM, DVD) of that computer.

The DATA is owned by THIRD DIMENSION TECHNOLOGIES.COM LTD and its suppliers and is protected by Nigerian Copyright Law, International treaty provisions, and all other applicable national laws. Therefore, you must treat the DATA like any other copyrighted material (e.g. a book) except that if the data is not copy protected you may either (a) make one copy of the DATA solely for back-up or archival purposes, or (b) transfer the DATA to a single hard disk provided you keep the original solely for back-up or archival purposes. You may not copy the Product manuals(s) or written materials accompanying the DATA.

Your use of this product is subject to the terms and conditions of the product licence supplied to you. Accordingly by using the product you acknowledge that you have read, understood and accepted the terms set out in the product licence.

OTHER RESTRICTIONS

You may not rent or lease the DATA. The DATA is the property of THIRD DIMENSION TECHNOLOGIES.COM LTD. this Licence grants you only use of the DATA. This agreement may be terminated at any time, at which point the DATA must be returned to THIRD DIMENSION TECHNOLOGIES.COM LTD.

Copying of files is subject to your licence agreement.

WARRANTY

With respect to the physical format and the physical documentation enclosed herein, THIRD DIMENSION TECHNOLOGIES.COM LTD. warrants the same to be free of defects in files and workmanship for a period of 30 days from the date of purchase. In the event of notification within the warranty period of defects in the material or workmanship, THIRD DIMENSION TECHNOLOGIES.COM LTD. will replace the defective files or documentation. The remedy for breach of this warranty shall be limited to replacement and shall not encompass any other damages, including but not limited to loss of profit, special, incidental, consequential, or other similar claims.

THIRD DIMENSION TECHNOLOGIES.COM LTD. SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO DEFECTS IN THE SERVICE, FILES DELIVERED AND DOCUMENTATION, AND THE PROGRAM LICENCE GRANTED HEREIN IN PARTICULAR, AND WITHOUT LIMITING OPERATION OF THE PROGRAM LICENCE WITH RESPECT TO ANY PARTICULAR APPLICATION, USE OR PURPOSE. IN NO EVENT SHALL THIRD DIMENSION TECHNOLOGIES.COM LTD. BE LIABLE FOR ANY LOSS OF PROFIT OR ANY OTHER COMMERCIAL DAMAGE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES.

TERM OF LICENSE

Licensing is for a period of 1 Year only from the date of purchase.

GOVERNING LAW

Laws of the Federation of Nigeria

ACKNOWLEDGEMENT:

You acknowledge that you have read this LIMITED WARRANTY, understand it, and agree to be bound by its terms and conditions. You also agree that: (1) No oral or written information or advice given by Earthward Consulting, its distributors, agents or employees shall in any way increase the scope of this Limited Warranty, and you may not rely on any such information or advice. (2) Unless a written governing agreement signed by you and Earthward Consulting exists, this License Agreement is the complete and exclusive statement of agreement between Earthward Consulting and you, and supersedes all proposals, oral or written, and any other communications you may have had prior to purchasing your license. (3) Except for the price and delivery terms agreed upon by both parties, the terms and conditions of this License Agreement shall supersede those set forth in any purchase order where the purchase order conflicts or is inconsistent with or adds to the terms and conditions of this License, and those superseded purchase order terms and conditions shall be null and void. (4) If your organization has purchased a multiple user License, you agree to assure that copies of the License Agreement are distributed, read and agreed to by each person using a licensed product.
